1. NATURE OF AGREEMENT AND APPLICATION OF TERMS AND CONDITIONS
1.1 These terms and conditions include any and all annexures and schedules and is the agreement between you as a casual users, guest or member (“You/Your/They”) and CoRize Co Pty Ltd (“CoRize”) upon your execution of the Membership Form and apply to any and all users of the space and services provided by CoRize whether You are a Guest, Casual or Member. The term “Your” is used throughout these Terms and Condition to refer to Guests, Casuals or Members and any other persons accessing the Premises and any services provided by CoRize.
1.2 If You are applying for a Company Membership, the Authorised Representative listed on the Membership Form, will be personally liable for any and all obligations placed on the Company Member including but not limited to its Nominated Users for the Term of the Membership.
1.3 Reference to these Terms and Conditions includes any and all other policies that are referred to herein such as the CoRize Privacy Policy which can be accessed at www.corizeco.com/privacy-policy or the CoRize User Policy and Conduct Rules, which can be accessed at www.corizeco.com/usepolicyandconductrules and by agreeing to these Terms and Conditions you agree to comply with the CoRize Privacy Policy and the User Policy and Conduct Rules.
1.4 It is Your responsibility to ensure that you review these Terms and Conditions prior to signing our Membership Form in order to determine the suitability and acceptability of these Terms and Conditions to You.
1.5 If You do not agree with any of these Terms and Conditions, then you should not use any services offered by CoRize, enter its Premises or sign the Membership Form.
1.6 At all times Premises remains in the possession and control of CoRize and by purchasing and accepting membership (which includes guest and casual use), you agree that this creates no tenancy interest, leasehold or other real property interest in your favour with respect to the Premises.
1.7 These Terms and Conditions and any other policies that CoRize has may be varied at any time. Any updates to policies and these Terms and Conditions will be on our website and it is your responsibility to ensure that you review and check such updates notwithstanding that CoRize will endeavour to provide notification when such variations occur. Your continued use of your Membership or other access to the Premises, is your agreement to be bound and continue to be bound to these Terms and Conditions.
1.8 In the event that you do not wish to continue your Membership following an update to the CoRize Terms and Conditions, you may terminate your Membership in accordance with clause 18.
1.9 By obtaining a membership with CoRize or otherwise entering into the CoRize Premises, you agree to be bound by these Terms and Conditions and You further agree that You are a party to a legally binding contract with CoRize.
2. MEMBERSHIPS
2.1 You have the option of choosing from the membership options listed on our Membership Form. The facilities and inclusions of each membership option are listed on the Membership Form and within these Terms and Conditions and must otherwise be confirmed in writing by CoRize.
2.2 You agree and acknowledge that any additional inclusions that are outside of the membership options listed are set out within these Terms and Conditions.
2.3 Your Membership inclusions will be listed under Your Membership Account. Any changes to Your Membership inclusions must be applied for by You to CoRize and confirmed in writing by CoRize. You agree and acknowledge that additional fees may be payable associated with changes to Your Membership inclusions.
2.4 You agree and acknowledge that once Your Membership form has been accepted by CoRize and payment has been made, that You will be required to create a Membership Account which will be used throughout Your Membership for the purpose of CoRize contacting You, providing notices to You, setting out billing and Membership details.
2.5 You agree and acknowledge that You must be 18 years of age or older to have a Membership. For the avoidance of doubt, in relation to Company Members, You agree that any users of Company Members must be 18 years of age.
2.6 You are solely responsible for and must ensure that You maintain the security and confidentiality of any information that you hold relating to Your Membership Account including but not limited to passwords, user credentials, payment details and Your internet access.
2.7 Upon CoRize granting You your Membership, You will be provided with a Digital Pass or an Access Fob for the purpose of accessing the Designated Area. Digital Passes or Access Fobs are not to be transferred or used by any other person or third party other than You as the Member.
2.8 Company Members will be provided with access during business hours and will be restricted by named nominated members only to use the Membership allocated to the Company Member (“Nominated Users”). The number of users of a Company Membership must be set out in the Membership Form and may be updated from time to time by the Company Member through its Membership Account notwithstanding that CoRize reserves the right to limit how many users a Company Member can include in its membership with CoRize. A breach by a Nominated User of any of the Terms and Conditions will be considered a breach by the Company Member.
2.9 For the avoidance of doubt, the Company Member and the Company Member Representative will be liable for all acts and behaviours of its Nominated Users.
2.10 All Nominated Users must have a valid Digital Pass and may require to show identification at reception before being granted access to the Designated Area. CoRize reserves the right to refuse entry in the event that a person is not listed as Nominated User. Nominated User passes cannot be transferred to any third parties that have not been included as Nominated Users by the Company Member.
2.11 In the event that You lose Your Access Fob, you will be liable to pay all fees associated with issuance of a new Access Fob.
2.12 Members are granted non-transferable personal access rights to CoRize premises and are prohibited from providing access to any non-members, even if requested. Members must remain vigilant and not allow unauthorized individuals to enter the premises by following them through doors or entry points. Only authorized CoRize administrative staff may grant access to non-members or visitors. Members should direct any individuals seeking entry to the reception or contact CoRize staff.
2.13 If You suspect that there has been a breach of your Membership Account security or it has otherwise been compromised, You must promptly contact CoRize.
2.14 Memberships are granted at the sole discretion of CoRize and are not transferable or otherwise to be sold or provided for personal use unless CoRize has consented to this in writing, at its sole and unfettered discretion.
3. GUESTS
3.1 Only Private Office Memberships are permitted to bring in one (1) Guest free of charge during the Term of their Membership and any further Guests will be charged at Day Pass Membership rates.
3.2 Any person entering the Premises as Your Guest will be Your responsibility and You will hold all liability for their behaviour and actions. You will, at all times, be and remain liable to CoRize, its employees, agents and representatives for any loss and damage that is caused by Your Guests.
3.3 Any breach of these Terms and Conditions or otherwise the Use Policy and Conduct Rules, by Your Guest, may result in termination of Your Membership with CoRize.
3.4 Company Members (if applicable) will be vicariously liable to CoRize and its representatives and agents for any loss or damage caused by any member of the Company Member.
3.5 Any signatory on the Membership Form signing on behalf of a Company Member warrants that it has lawful authorise to sign on behalf of such Company Member and will be personally liable for all actions and inactions by such Corporate Members, its Guests and otherwise any invitee by such Corporate Member.
3.6 Members and Casuals are permitted to invite Guests to meetings that are held at the Premises in the Meeting Rooms. Outside of such meetings held in the Meeting Rooms, Guests are not permitted to visit, hang out, loiter or otherwise use any of the Facilities or Services offered by CoRize unless prior consent has been obtained in writing from CoRize.
4. DAY PASS USE
4.1 All Day Pass Members are bound by the terms of these Terms and Conditions.
4.2 Day Pass Members that wish to bring Guests to the Designed Area must purchase a Day Pass for their Guest.
4.3 Day Pass Members must purchase their Day Pass through the Membership Account and will receive a receipt after payment as a proof of purchase of a Day Pass.
4.4 Day Pass Members will be issued a Digital Pass for access and may be required to show identification to CoRize reception prior to accessing the Designated Area.
4.5 Day Pass Members will not be permitted to use or access the Designated Area outside of the period of time and hours that are set out under their Day Pass.
4.6 Day Pass Members may only use the Designated Area during the CoRize Trading Hours and is strictly for one (1) Business Day.
5. LICENCES
5.1 By granting You the right to use the Designated Area under Your Membership, you agree that CoRize grants to You a licence to use the Designated Area and that CoRize are not granting You, in any way, with exclusive possession over any part of the Designated Area or otherwise any other part of the Premises that you may be entitled to use as part of your Membership.
5.2 You agree that from time to time, upon providing You with written notice, CoRize may relocate you to another Designated Area which is allocated for Members with Your type of Membership. CoRize will hold no liability for loss or damage caused or that may be suffered by You as a result of Your relocation to a different Designated Area.
6. PERMITTED USE AND RESTRICTIONS
6.1 You may only use Your Membership which includes use of the Designated Area, for the Permitted Use, which must be approved by CoRize at its sole and sole unfettered discretion.
6.2 You acknowledge that CoRize will be open between the hours of 9am and 5pm on weekdays and closed on public holidays (“Trading Hours”).
6.3 You may only use Your Membership during the Trading Hours, unless otherwise advised and approved in writing by CoRize.
6.4 If Your Membership includes 24/7 access to your Designated Area, this must be confirmed in writing by CoRize on Your Membership Form and reflected in Your Membership Account. You are liable for any actions, events, loss and access to the Designated Area whether or not Your use is during or outside of the Trading Hours.
6.5 Day Pass Members will only be able to use the Facilities strictly during the Trading Hours.
6.6 You may only use the premises using the Digital Access and Access Fob (if applicable) provided to you. Loss of your Access Fob will incur a replacement fee of $200.
6.7 Members must keep their Digital Access and Access Fob secure at all times and in the event that an Access Fob is lost, You are responsible for reporting this to CoRize.
6.8 You will remain liable at all times for any use of the Digital Access and Access Fob (if applicable) including all uses that are not permitted and will liable for all acts related thereto.
6.9 CoRize reserves the right, at their sole discretion to restrict any Permitted Use, cease the Permitted Use at any time or otherwise cancel a Membership as a result of a breach of this clause 6 by Members and their Guests.
6.10 In order to provide the Services and Facilities offered by CoRize, CoRize will retain full control and unrestricted access to any and all areas of the Premises.
6.11 You may not use the CoRize Premises for any of the following purposes (which are as determined by CoRize):
a) Sleeping or living;
b) commercial cooking or cooking outside if what is set out under the Use Policy and Conduct Rules, or manufacturing of any kind;
c) Illegal activities or activities which may infringe the law or rights of other Members or third parties;
d) Storing, manufacturing or selling dangerous or hazardous goods or services;
e) Any activities have include high levels of noise that may disrupt other Members or CoRize’ business;
f) Burning any sort of flame including but not limited to candles, incense or oil burners or any object that requires or has a naked or contained flame or that otherwise creates smoke or otherwise creates a fire hazard or cause interfere with fire protection equipment any where in or around the Premises; and
g) No vaping or smoking anywhere on the Premises.
6.12 Members (and their Guests) will be responsible and liable for the costs associated with any attendances by the fire department that has occurred, as a result of the Member and/or Guests’ use of the Premises, or otherwise any conduct or breach of this clause 6 (which includes for the avoidance of doubt, any call outs of any kind).
6.13 CoRize reserve the right to include any other restrictions to the use of the Premises by Members and Guests at its sole and unfettered discretion. You agree that all restrictions that are imposed by CoRize is to preserve a harmonious and safe working environment for all Members and CoRize employees, agents and representatives.
7. FACILITIES, SERVICES AND DESIGNATED AREAS
7.1 You acknowledge and agree that the Facilities and Services including but not limited to the shared office spaces, meeting rooms, kitchen facilities and other services may be shared with other Members.
7.2 You agree acknowledge that CoRize may, from time to time, be required to enter Your Designated Area including but not limited to, for emergencies, to undertake cleaning, for inspections or in order to resell the Designed Area in the event that Your Membership is to terminate or is not going to be renewed.
7.3 Use of the CoRize Facilities, Services and Designated Areas are governed by these Terms and Conditions in addition to the Use Policy and Conduct Rules.
7.4 You agree and acknowledge that CoRize will require You to use your Digital Key Access, which will be provided to you at the time a Designated Area that requires bookings is allocated to you for the purpose of allowing CoRize to monitor Your use of a booked Designated Area.
7.5 CoRize offers the following Facilities (as amended from time to time by CoRize at its sole discretion):
a) Common Areas;
b) Meeting Rooms;
c) Lock up Offices;
d) Desk Spaces;
e) Kitchen and Toilet;
f) Photocopying and scanning;
g) Parking;
h) Lockers.
7.6 Common Areas – All Members have the right to use the areas labelled as “Common Areas” within the Premises, during their respective Membership Term. Guests are able to use the Common Areas immediately prior to or after a Meeting (“Guest Use Allowance”), however specific access must be purchased and be part of a Day Pass if they wish to undertake any work at the CoRize Premises. CoRize reserve the right to charge Guests fees for a Day Pass in the event that they determine the Guest is using the Premises outside of the Guest Use Allowance.
a) Members and Guests have the right to use the Common Areas during their Membership Term (which includes the duration of a Day Pass)
b) Common Areas are monitored at all times by CoRize.
c) Members and Guests must treat Common Areas respectfully and ensure that all rubbish and property is removed from Common Areas at the time they leave the Common Area.
7.7 Meeting Rooms – the following terms are to be applied to the use of any Meeting Rooms:
a) Members have the right during their Membership Term to book and use Meeting Rooms through their Membership Account or through CoRize reception.
b) Day Pass Members must book Meeting Rooms through their Membership Account.
c) At the time of booking a Meeting Room, You will be required in select the date and length of time that a Meeting Room is required for. You are required to vacate a Meeting Room once Your booking time has expired. In the event that You remain in the Meeting Room at the end of Your Meeting, CoRize reserves the right to charge You an Over Time Use Fee
d) You agree that Meeting Rooms are subject to availability;
e) CoRize is not liable to You for any loss suffered as a result of another Member going overtime in a Meeting Room.
f) Certain Memberships include a monthly allocation of "free of charge credits" for booking and using Meeting Rooms. These credits expire at the end of each month and do not roll over. Unused credits cannot be carried forward to subsequent months or transferred to another Member.
g) In the event that some Members are provided with Credits to use Meeting Rooms, these credits will be applied at the time the Meeting Rooms are booked online. In the event of cancellation, You agree that Credits cannot be refunded. Otherwise You agree and acknowledge that no refunds will be provided (unless otherwise advised in writing by CoRize) in the event You cancel due to change of mind or cancel less than 24 hours prior to a Meeting Room booking, You will not be entitled to a refund. For the avoidance of doubt, this will also apply to Day Pass Members.
7.8 Private Office
a) If Your Membership includes the use of a private office, CoRize will provide you with a personal Digital Access, You agree and acknowledge that CoRize will maintain access to lock up offices for the purpose of maintenance and cleaning. It is Your responsibility to ensure that Your property is secured at all times.
b) You agree that CoRize will not be liable for any loss suffered related to lock up offices. If a private office forms part of Your membership, You agree and acknowledge that at the end of Your Membership, You are required to remove all property from Your allocated private office and remove all rubbish from the area.
c) In the event that You do not remove Your property at the end of the Membership Term, CoRize may dispose of Your property at its election. CoRize will not be liable for any loss suffered as a consequence of Your failure to remove Your property at the end of Your Membership.
d) For the avoidance of doubt, reference to the term “end of Your Membership” refers to the last day of Your Membership Term.
7.9 Desk Space
a) You agree and acknowledge that (if desk space forms part of Your Membership inclusions), CoRize will allocate You a desk space within a shared co-working space.
b)Desk spaces are in a shared co-working environment.
c) Desk spaces can only be used by one (1) individual and cannot be used by more than one (1) person. CoRize reserves the exclusive right to allocate a different desk space to You from time to time of equivalent size and CoRize will provide notice of such relocation to You through Your Membership Account in advance.
d) Desk Spaces do not have lock up facilities (unless ‘Under Desk Storage’ furniture hire is included in your contract, additional to Your Membership) and all property is to be removed from the desk space area and rubbish removed at the end of Your Membership Term.
8. SERVICES
8.1 CoRize offers a number of services which are available to You subject to Your membership type and terms and conditions. Such services include but are not limited to lockers, car parking, internet use and other services. Use of the services are governed by these Terms and Conditions in addition to the Use Policy and Conduct Rules.
8.2 Concierge Services
CoRize offers certain Concierge Services that may be included in Your Membership or that otherwise may be selected by You on Your Membership Form or Membership Account as an optional extra and at an additional cost as set out under the Membership Form Fee sheet (as amended and updated from time to time).
8.3 Concierge Services are not available for Day Pass Members, unless specifically authorised in writing by CoRize.
8.4 CoRize reserves the right to change the Concierge Services that are offered from time to time at their discretion. The Concierge Services offered that are undertaken by CoRize reception are:
a) Postal mail sending and collection;
b) Telephone call directing and messaging service; and
c) Binding, photocopying and scanning.
8.5 You may not use the name of CoRzie in any way connected with Your business or Permitted Use. You are only permitted to use the address of the Premises as Your registered office address if it is permitted by law and within the terms of Your Membership as part of the Concierge option services under these Terms and Conditions.
8.6 Lockers
a) Lockers are available for free daily use for all Members. All items must be removed from the lockers at the end of each day.
b) Dedicated Desk and Private Office Members may rent a locker on monthly basis. Rental fees are listed in the Fee List in accordance with clause 9.1.
c) You agree and acknowledge that You are solely responsible for the security of all possessions stored in CoRize lockers. CoRize shall not be liable for any loss or damage to items stored in lockers.
8.7 Car Parking (Only applicable for Private Office Memberships)
a) Your contract includes the option to hire one (1) double parking space (two (2) spaces back-to-back) on a monthly basis. This option is subject to approval and availability.
b) Your guests may use your dedicated parking space, but you must personally assist them with access. You are prohibited from giving guests your Access Fob. Alternatively, guests may use the buildings visitor parking spaces within the complex.
c) Dedicated and Visitor parking spaces subject to body corporate regulations. Refer to the Body Corporate website for details [link].
d) If there is an unauthorised car in your space, you must report this to CoRize admin. They will act in compliance with the body corporate laws. See website [link]..
8.8 Internet
Wi-Fi Internet (“Internet”) access is part of the facility services offered by CoRize. Internet access is however subject to the following conditions:
a) Internet access is supplied and maintained by a third party service provided. CoRize will provide You with usernames and passwords and may otherwise require that access is subject to additional terms and conditions as directed from time to time by CoRize.
b) CoRize reserves the right to limit how many devices You are able to log into the CoRize Internet system and otherwise implement data quotas and traffic shaping policies to ensure that all Members (where relevant) are able to use the Internet sufficiently.
c) Whilst CoRize respects Your privacy, CoRzie also reserves the right for its service provider to monitor all activity and use of the Internet.
d) To the maximum extent permitted by law, CoRize does not guarantee, warrant or make any representations:
i) That access will be uninterrupted, fault-free, or that it will meet minimum speed or bandwidth requirements that You may require;
ii) That any files or other data that You download will be free of viruses, contamination or other destructive features; and
iii) Relating to security of data transmission or protection.
You should at all times remember that the Internet and Networks should be considered as unsecured for the purpose of data protection.
e) Internet access is provided primarily for business and professional use. You agree not to use the Internet service for:
i) Excessive downloading or streaming of content for personal use, including but not limited to movies, TV shows, music, or large video files;
ii) Peer-to-peer file sharing or torrenting;
iii) Any activities that may negatively impact the network performance for other members.
8.9 Limit of Liability
You agree and acknowledge that CoRize does not warrant nor indemnify You for matters relating to the Services or acts related to the Services. CoRize does not indemnify You for any loss or damage caused by or related to Your use or non-use of the Services.
8.10 CoRize will be responsible for the maintenance and cleaning of the Common Areas within the Premises however You agree and acknowledge that You will be responsible for maintaining cleanliness of Your Designated Area and promptly reporting any maintenance issues to CoRize. You will be responsible for any damage caused by Your use of the Designated Area and will be liable for associated costs.
8.11 You are liable for any damage caused by You or any third parties accessing the Premises, Facilities, Services and Designated Area, at Your request or with Your permission, whether express or implied including but not limited to any of Your Guests, agents, employees and/or contractors.
9. FURNITURE
9.1 Furniture Hire
a) Availability and Fees: CoRize offers the following furniture for hire, subject to availability:
- Small Lockers: $10.00 per month
- Large Lockers: $15.00 per month
- Desks: $20.00 per month (Private Office Members only)
- Chairs: $5.00 per month (Private Office Members only)
- Under Desk Storage: $10.00 per month
b) Furniture hire is available to Private Office and Dedicated Desk Members only, as specified above.
c) Hire fees will be charged monthly in addition to the regular Membership fees.
d) Terms of Use:
Hired furniture remains the property of CoRize at all times. Members are responsible for the proper use, care, and maintenance of hired furniture. Hired furniture must not be removed from the Premises or relocated within the Premises without prior written consent from CoRize.
e) Damage and Liability:
Members must report any damage to hired furniture to CoRize immediately. Members will be held liable for any damage beyond normal wear and tear. Replacement or repair fees for damaged items will be charged at CoRize's discretion, based on the full retail cost of the item or the cost of professional repair.
f) Termination of Hire:
Furniture hire will automatically terminate upon the expiration or termination of the Member's Membership. Members must return all hired furniture in its original condition (allowing for normal wear and tear) upon termination of hire. Failure to return hired furniture or returning it in an unacceptable condition may result in additional charges, including but not limited to the full replacement cost of the item.
g) Modifications to Hire Terms:
CoRize reserves the right to modify the furniture hire fees and terms with 30 days' written notice to Members. Members will have the option to terminate their furniture hire agreement without penalty within 14 days of receiving notice of any fee increases.
h) Insurance:
CoRize's insurance does not cover Member's personal belongings stored in hired furniture. Members are encouraged to obtain their own insurance for any valuable items stored in hired lockers or furniture.
i) By hiring furniture from CoRize, Members acknowledge that they have read, understood, and agree to abide by these Furniture Hire Terms and Conditions.
9.2 Private Office Membership Personal Furniture
a) Private Office Members are permitted to bring their own furniture, subject to the following conditions:
b) Delivery must be scheduled during CoRize's business hours (9am to 5pm, Monday to Friday, excluding public holidays).
c) Members must provide their own insurance coverage for personal furniture. CoRize's insurance does not cover Members' personal furniture.
d) CoRize shall not be held liable for any damage that may occur to the furniture during delivery, installation, use, or removal from the Premises.
e) Members must notify CoRize administration in writing of any furniture delivery at least 24 hours in advance, on a Business Day. This notification should include details of the items being delivered and the expected delivery time.
f) Members or their authorised representatives must be present to accept the delivery. CoRize staff are not authorised to accept deliveries on behalf of Members.
g) CoRize reserves the right to refuse entry of any furniture that it deems unsuitable for the Premises or that may cause disruption to other Members.
h) Members are responsible for ensuring that their personal furniture complies with all applicable safety standards and regulations.
i) Upon termination of Membership:
Members are responsible for the removal of all personal furniture by the contract end date specified in their Membership agreement.
ii) Any personal furniture remaining in the Premises after the contract end date will be subject to additional fees for the continued use of space. These fees will be charged at CoRize's current daily rate for the relevant office size and will continue to accrue until the furniture is removed.
iii) If personal furniture is not removed within 7 days after the contract end date, CoRize reserves the right to dispose of such items at the Member's expense, in addition to charging the accrued fees for use of space.
iv) CoRize shall not be held liable for any loss or damage to personal furniture left behind after the contract end date.
v) CoRize reserves the right to request the removal of any personal furniture that becomes a nuisance, safety hazard, or interferes with the use and enjoyment of the Premises by other Members.
10. FEES AND PAYMENT
10.1. Fees associated with CoRize Memberships, are set out on the Membership Form and which may otherwise be accessed by logging into the Membership portal and viewing your invoices under the ‘Billing’ tab at corize.officernd.com.
10.2. You agree to pay the Membership Fee for the Term as outlined under the Membership Form. Failure to pay will result in immediate cancellation of Your Membership. CoRize will not be liable for any losses caused as a result of cancellation of Your Membership as a result of Your failure to make payments due and payable due to CoRize.
10.3. Fees associated with Your Membership and otherwise listed on our website, are subject to change.
10.4. Fees may be listed as starting prices and may be changed depending on the types of
Facilities and Services You require to form part of Your Membership package.
10.5 .Fees for Your Membership may be increased in the event that You select that certain Services and Facilities are made available for Your use that are outside of what is included in Your Membership.
10.6. You may be charged different rates for different types of Memberships at the discretion of CoRize which are offered by CoRize on our website or otherwise from time to time.
10.7. CoRize reserves the right at all times to offer discounts or otherwise reduced rates in relation to the Fees.
10.8. You agree and acknowledge and agree that if CoRize provides You with a reduced rate or a discount, this discount of reduced rate, does not continue into any renewal period, cannot be transferred to any other party and is to be considered as one-off concessions. In the event that you cancel your Membership and re-join, you will not be entitled to be granted any previous discounts or reduced rates that may have previously been applied.
10.9. If You are signing up for a Membership on behalf of a Company Member, then the nominated Company Member Representative that is listed on the Membership Form, will be personally liable to pay the relevant Membership Fee in relation to the Membership and any and all other fees and charges that may be payable under the Company Members Membership.
10.10. GST - All fees are exclusive of GST unless specifically noted.
10.11. CoRize is registered for GST and where there is a provision of goods and services under these Terms and Conditions that are considered as being a taxable supply (as defined under the GST Act).
10.12. Correct Details - You acknowledge and agree that Your payment details as set out in the Membership Form, must be kept current and active in your Membership Account and You acknowledge and agree that CoRize reserves the right to use Your payment details for any payment that is due and payable by You under the terms of Your Membership.
10.13. Payment Options - You may elect to pay Your Membership Fees by way of:
(a) Upfront payment
(b) Direct Debit – in the event that You elect your Membership Fees to be paid through direct debit, your payment details will be stored by CoRize and used to pay for fees and payments required to be made under these Terms and Conditions that You may be liable for during and after the Term of Your Membership.
10.14. Late Payment and Insufficient Funds – We may charge a $25.00 fee for any payment that is late or rejected due to insufficient funds after the first occurrence.
10.15. CPI – In the event that You are on a month by month Membership or a Day Pass, You agree and acknowledge that Membership Fees may increase as a result of any CPI increases.
11. USE POLICY AND CONDUCT RULES
11.1. All Members are required to ensure that they read and abide by the Use Policy and Conduct Rules that can be located at www.corizeco.com/usepolicyandconductrules a copy of which is otherwise provided with all Memberships.
11.2. All Members understand that it is a term of their membership to abide by the Use Policy and Conduct Rules to ensure that the Facilities are used fairly by all Members.
11.3. You agree and acknowledge that by becoming a Member (which includes being a Guest and/or a Day Pass) you agree to the CoRize Use Policy and Conduct Rules which are required in order to appropriately manage the conduct of Members and use of the Premises in a shared environment.
11.4. A breach of the Use Policy and Conduct Rules will allow CoRize to suspend or otherwise terminate Your Membership at the sole and unfettered discretion of CoRize.
11.5. You agree to use the CoRize Facilities and Services in a respectful manner and in accordance with our Use Policy and Conduct Rules.
12. MEMBER AND CASUAL USE LIABILITY
12.1. You hereby acknowledge and agree:
a) to indemnify CoRize and its employees, agents and/or representatives, from all direct, reasonable and quantifiable Loss suffered by CoRize and/or its representatives, employees and agents (whether based in negligence or any other tort, contract, statutory liability or otherwise) as a result of You
breaching these Terms and Conditions or the Use Policy and Conduct Rules.
b) That if You are a Company Member, that the Company Member warrants that each of its members and representatives that use the Membership will comply with these Terms and Conditions and further agrees to be vicariously liable to CoRize and/or its representatives, employees and agents for any loss suffered by CoRize and/or its Representatives as a result of each of its
members and/or representatives breaching these Terms and Conditions.
c) that all Members (including Day Pass) who invite Guests to a Member Area, warrant that their Guests will comply with these Terms and Conditions and that You agree to be vicariously liable to CoRize and/or its representatives, employees and agents for any loss suffered by CoRize as a result of Your Guests breaching these Terms and Conditions.
d) that where You are entitled to use CoRize Services, such Services will come with Consumer Guarantees as required under Australian Consumer Law (“ACL”).
e) Without limiting rights You hold under the ACL or otherwise at law you agree that Your ability to hold CoRize responsible for loss and damage that you may suffer as a result of using the Services or Facilities under your Membership is restricted under these Terms and conditions and CoRize’s
liability to You for any loss or damage that you may suffer as a result of using the Premises is restricted under these Terms and Conditions; and that You use the Facilities, Services and access the Premises at your own risk.
12.2. CoRize reserves the right to charge you additional fees associated with You listed the Premises as Your office address.
12.3. CoRize further reserves the right to limit any excessive visits to the Premises by Your Guests in the event that such visits impact the use by other Members.
13. PROMOTION AND MARKETING
13.1. You agree and acknowledge that from time to time CoRize may have marketing and promotional footage taken at the Premises to market CoRize.
13.2. CoRize will use reasonable endeavours to ensure that Your confidential information is not visible in any of its promotional and marketing footage and You agree and acknowledge that it is Your responsibility to ensure that any of Your material that is confidential is not kept in sight in Your Designated Area.
14. IP AND CONFIDENTIAL INFORMATION
14.1. All Intellectual Property is owned by CoRize and You are not authorised to reproduce, sell, distribute or licence such Intellectual Property.
14.2. You agree and acknowledge that as CoRize is a collaborative working space that You may be exposed to other Confidential Information owned by other Members and similarly Your Confidential Information may be exposed to other Members. You are solely responsible for ensuring that you keep your Confidential Information secure and You agree to keep other Members’ Confidential Information secure and undisclosed.
14.3. You agree and acknowledge that CoRize will not, in any way be responsible for the storage or management of Your Confidential Information nor will CoRzie will liable for any loss or damage or claims relating to the disclosure or unauthorised use or access of Your Confidential Information.
14.4. For the avoidance of doubt, all membership terms will be considered as Confidential
Information and the Intellectual Property of CoRize.
14.5. Membership information may not be disclosed without the express written consent of CoRize (which may be reasonably withheld) unless the disclosure is required by law.
15. MEMBER AGREEMENT AND ACKNOWLEDGEMENT
15.1. You agree and acknowledge that failure to comply with these Terms and Conditions may incur significant consequences.
15.2. You agree to indemnify CoRize and its agents and representatives for certain loss or damage that CoRize and its agents and representatives may suffer as a result of Your non-compliance of these Terms and Conditions.
15.3. CoRize recommends that You put in place and otherwise hold all insurances to cover Your use of the CoRize Services, Facilities and otherwise the Premises such as public liability insurance, contents insurance and compensation insurance. You release and indemnify CoRize and its agents and representatives from any loss or claim associated with (including but not limited to clause 14.2).
15.5. CoRize expects at all times, high levels of behaviour and community standards and conduct by all Members and Guests.
15.6. You warrant that any information that You have provided to CoRize is true and correct and that You have the lawful authority to enter into and be bound by the terms of these Terms and Conditions.
15.7. CoRize reserves their right at any time, to require that, in the event You enter into a Membership with CoRize for and on behalf of a Corporate Member, that CoRize may require that You provide with written confirmation from the Company member of your authority.
15.8. You agree and acknowledge that it is Your sole responsibility to keep Your information and contact information up to date.
15.9. You agree and acknowledge that CoRize will use Your information from Your Membership Form and Membership Account to contact you and keep you informed on matters relating to Your Membership or otherwise matters concerning CoRize.
16. RENEWAL
16.1. Renewal Notice
a) You acknowledge and agree that no notice of renewal will be provided at the end of your Membership Term and that at the end of Your Membership Term, Your Membership will automatically renew.
b) Cancellation Notices and time frame applicability is set out under clause 16.
16.2. Automatic Renewal
4. Once your Membership Term has expired, your Membership will continue on the following basis:
a) Dedicated Desk Membership: month by month
b) Private Office Membership: 3 monthly Unless terminated by You in accordance with clause 17 or otherwise terminated by CoRize at its election.
5. If you do not wish for Your Membership to renew then you must provide written notice of such cancellation through Your Membership Account. Cancellation will only take effect thirty days following issue of Your notice of cancellation and You agree that if you are paying through direct
debit that you may be liable for a payment during this period of time.
16.3. Discretion of CoRize
a) CoRize may, at its sole and unfettered discretion, choose not to renew Your Membership upon which CoRize will provide you with notice of such decision by written notice to your Membership Account;
b) In the event that CoRize choose not to renew Your Membership, You will not receive a notice of such decision. Notices of renewal will only be provided to You in the event that Your Membership is to be renewed.
17. CANCELLATIONS
17.1. In the event that You wish to cancel Your Membership (excluding Day Pass) the following notice periods will apply:
a) Month to Month – no less than 1 month from the 1st day of any calendar month;
b) 3 months – 2 months’ notice from the 1st day of any calendar month;
17.2. You are responsible for actioning the cancellation of Your Membership, through Your Membership Account
17.3. If CoRize elects to cancel Your Membership, such cancellation will be advised to you through you Membership Account.
17.4. You agree and acknowledge that it is Your responsibility to ensure that you have access to your Membership Account and that all contact details that You have provided are current and up to date at all times. CoRize will not be liable for any loss or consequences suffered as a result of same.
18. SUSPENSION AND TERMINATION
18.1. In addition to the rights granted to CoRize under clause 16, You acknowledge and agree that CoRize may terminate, suspend or otherwise vary Your Membership or access in the event that CoRize deem that You have breached these Terms and Conditions.
18.2. You agree and acknowledge that CoRize will be entitled to immediately terminate Your Membership (including Casuals) if CoRize deem that any of the following have occurred:
a) Repeated breaches these Terms and Conditions (which for the avoidance of doubt includes a breach of the Use Policy and Conduct Rules);
b) Defaults in any payments due to be made to CoRize;
c) Your use of the Designated Area and the Premises is in breach of the law;
d) There has been a material breach of these Terms and Conditions; or
e) You fail to remedy a breach, as determined by CoRize, within seven (7) days of a written notice (by way of email or otherwise through Your Membership Account) being provided by CoRize.
18.3. CoRize reserves the right to terminate Your Membership, at its election, by
providing you with at least 14 days written notice (by way of email or otherwise
through Your Membership Account) with such termination to be immediate 14 days
after such notice has been issued to You.
18.4. In the event that CoRize ceases to operate from the Premises, CoRize may offer You
with alternate premises accommodation or alternatively terminate Your Membership, at its election. In the event that CoRize elects to terminate Your Membership due to CoRize ceasing to operate from the Premises, You will be liable to pay up until Your last date of use of Your Designated Area and You will not be liable to pay out the remainder of time on Your Membership.
18.5. If CoRize terminates Your Membership for any reason referred to under these Terms and Conditions, you must within 14 days, pay to CoRize the remaining term of Your Membership for which Your membership would have continued for, if CoRize had not been required to terminate Your Membership.
18.6. Effects of Termination
a) Upon Termination, You must, vacate any and all spaces within the Premises that your are occupying immediately including but not limited to the Designated Area and leave it in the same state and condition as it was when You occupied it at the Commencement Date.
b) If You leave any property or belongings in the Designed Area, CoRize may dispose of such belongings and property in any way that it elects and You release CoRize from any and all liability incurred by You as a result of CoRize’s disposal of such property.
c) In the event that You continue to use the Designed Area or otherwise the Premises once Your Membership has terminated, You will be responsible for any loss, claim or liability that CoRzie may incur as a result of Your failure to vacate when required by CoRize and otherwise in accordance with these Terms and Conditions.
19. INSURANCE
19.1. CoRize will maintain public liability insurance for the Spaces and also holds its own contents and workers’ compensation insurance.
19.2. You acknowledge and agree that all insurances that CoRize holds outside of public liability insurance will not and does not purport to extend to any other party outside of CoRize, which includes but is not limited to Guests and Members and otherwise any other third parties.
19.3. CoRize recommends that You take out your own public liability and any other appropriate insurance coverage that you may be required to hold by law.
20. PRIVACY AND DATA PROTECTION

21. ASSIGNMENT AND SUB-LICENSING
3. You are not permitted at any time to novate, assign, sub-licence or otherwise transfer any of the rights granted to You by the membership and these Terms and Conditions unless such action is permitted by CoRize at its sole and unfettered discretion.
22. COMPLIANCE WITH THE LAW
4. These Terms and Conditions will be governed by the laws of Victoria, Australia and the parties submit exclusively to the authority of the courts having jurisdiction in Victoria, Australia and the Federal Court of Australia where applicable.
23. GENERAL
23.1. Entire Agreement
4.1. These Terms and Conditions and Your Membership Form, constitutes
the sole and entire agreement between You and CoRize and a warranty,
representation, guarantee or other term or condition of any nature not
contained or recorded in these Terms and Conditions is of no force or effect.
23.2. Amendment
4.2. No variation or waiver of, or any consent to any departure by CoRize from, a provision of these Terms and Conditions is of any force or effect unless it is confirmed in writing signed by CoRize and then that variation, waiver or consent is effective only to the extent for which it is made or given.
23.3. No Reliance
4.3. You warrant that You have made Your own enquiries in respect of the Memberships with CoRize and matters contained in these Terms and Conditions and do not rely on any representation by CoRize whatsoever.
23.4. Waiver
4.4. The failure, delay, relaxation or indulgence on the part of CoRize in exercising any power or right conferred upon CoRize by these Terms and Conditions, does not operate as a waiver of that power or right, nor does any single exercise of any power or right preclude any other or further exercise of
it or the exercise of any other power or right under these Terms and Conditions.
23.5. Severance
4.5. If any provision of these Terms and Conditions is invalid and not enforceable in accordance with any other terms, other provisions which are self-sustaining and capable of separate enforcement without regard to the invalid provision, are and continue to be valid and enforceable in accordance
with their terms.
23.6. Change in Control
4.6. You acknowledge and agree that for the purpose of internal business restructuring or otherwise where CoRize may sell part or all of its business, You agree that CoRize are able to novate, assign, sub-licence or otherwise transfer our rights and obligations under these Terms and Conditions to a
third party nominated by CoRize provided the third party continues to fulfil its obligations to you under these Terms and Conditions. You agree that where we do so, the new party will assume CoRize’s rights and obligations under these Terms and Conditions (in whole or in part) and you will release CoRize from those rights and conditions under these Terms and Conditions.
23.7. Binds heirs
4.7. This Agreement bind You, your representatives, assignees,
transferees and successors.
Interpretation
(a) the singular includes plural and vice versa;
(b) reference to a document includes the document as assigned, novated, altered,
supplemented or replaced from time to time;
(c) a reference to any party to the Terms and Conditions includes that party’s executors,
administrators, successors and permitted designs and substitutes;
(d) parties must perform their obligations on the dates ad times fixe by reference to
Melbourne, Victoria;
(e) a reference to a person includes a natural person, partnership, body corporate,
association, government or local authority, or agency or other entity;
(f) A reference to a statute, ordinance, code or other Law includes regulations and other
instruments under it and consolidations, amendments, re-enactments or replacements
of any of them;
(g) A rule of construction does not apply to the disadvantage of a party because the party
was responsible for the preparation of these Terms and Conditions of any part of it and
(h) An obligation or liability assumed by or a right conferred on two or more parties binds
or benefits them all jointly and severally.
Definitions
Business Days - means Monday to Friday, excluding public holidays.
Day Pass Members – means individuals or third parties that select the Day Pass membership
option on the Membership Form and are granted the right to use the CoRize Premises, Facilities
and Services on a Day Pass basis of no longer than one (1) Business Day being a period of 8 hours,
9am – 5pm.
Day Pass – refers to the Day Pass membership option listed on the Membership Form and will
show, what Facilities and Services are included in the Membership and the Designated Area and
Membership Term that the Day Pass Member may use the Designated Area for.
Common Areas means the areas designated as “common areas” within the Premises and as set
out under clause 7.6.
Concierge Services means services offered by CoRize from time to time to Members that are listed
under clause 8.4 as amended from time to time.
CoRize Day Pass Member Area – the area within the Premises, allocated for use to and by Day Pass
Holders;
Company Member – means the entity listed on the Membership Form that is entitled to use the
CoRize services and facilities;
Designated Area – means the area that a Member is entitled to use as part of their Membership as
listed on the Membership Form which may be varied from time to time and confirmed in writing
by CoRize to the Member
Facilities means the facilities offered by CoRize from time to time, and advised by CoRize, including
but not limited to, toilet facilities, kitchen facilities, internet facilities, photocopying and scanning
facilities, charging facilities and parking facilities
Fees means the CoRize fees as set out in the Membership Form and as otherwise advised and
amended by CoRize from time to time;
GST Act means A New Tax System (Goods and Services Tax) Act 1999 (Cth);
Guest – means any invitees of the Member and includes for the avoidance of doubt, any clients,
staff members or other third parties invited to attend the Premises to meet with (in any capacity)
the Member.
Guest Use Allowance – means the time before and after a Guest has a meeting with a Member as
set out under clause 7.6 and as updated and determined from time to time by CoRize.
Intellectual Property – means the intellectual property of CoRize including but not limited to
photographs, membership forms, layout, pictures, methodologies as amended from time to time
by CoRize.
Member – includes any person or corporate entity that has a membership with CoRize and for the
avoidance of doubt, includes all Casuals;
Member Area – means the areas within the Premises that are designated for Members only and
not Guests.
Membership – means the membership that You have with CoRize and for the purposes of the
Terms and Conditions refers to Casuals;
Membership Account – means your online account that You must set up with CoRize and use to
manage Your Membership which can be accessed atcorize.officernd.com
Membership Form – means the form completed by You to sign up for the use of CoRize services
and facilities as amended from time to time.
Membership Term – the term of a membership or otherwise the duration of a Day Pass
Over Time Use Fee – means the fee of $30 amended from time to time by CoRize representing a
fee for overtime use of an area in the Premises where bookings are required to be made.
Permitted Use means the use as set out under Item 3 of the Membership Form which is subject to
review and change at the discretion of CoRize from time to time and otherwise regulated in
accordance with these Terms and Conditions.
Premises means the CoRize premises located at Suite 201/17 Everage Street, Moonee Ponds Vic
3039
Services means the services offered by CoRize as set out in the Membership Form and Terms and
Conditions and as amended from time to time by CoRize.
Trading Hours means the hours set out under clause 6.2;
Use Policy and Conduct Rules – means the rules that apply to using the CoRize Premises as
amended from time to time by CoRize and that may be accessed at https://www.corizeco.com/
usepolicyandconductrules
Website means the CoRize website as amended from time to time which can be accessed at
